Welcome to Honsoft Technology Centre Ltd. These Terms and Conditions govern your use of our software products, ERP systems (ISMS, HPMS, Microfinance, Transport), mobile applications, websites, and custom development services. By accessing or using our solutions, you agree to comply with these terms.

1. Scope of Services

• Software Licensing: Honsoft grants clients a non-exclusive, non-transferable, revocable license to use our proprietary software and ERP systems based on active subscription packages.
• Custom Development: Custom software solutions are built according to mutually signed Service Level Agreements (SLAs) and project specifications.
• Support & Maintenance: System updates, troubleshooting, and hosting support are provided only during active subscription periods or as outlined in specific client contracts.

2. User Accounts & Responsibilities

• Security: Clients are responsible for maintaining the confidentiality of login credentials (usernames and passwords) created for their staff, students, tenants, or administrators.
• Authorized Use: You agree not to reverse-engineer, decompile, copy, or unauthorizedly distribute any source code or proprietary frameworks owned by Honsoft.
• Data Accuracy: Clients must ensure that all records, financial figures, and personal information uploaded into our ERP modules are accurate and legally obtained.

3. Payments, Subscriptions & Renewals

• Billing: Services are billed on a subscription baseline (monthly, quarterly, or annually) or via fixed milestone payments for custom development.
• Late Payments: Honsoft reserves the right to suspend system access, API integrations (such as Bulk SMS and M-PESA routing), and technical support if subscription invoices remain unpaid past their due date.
• Refunds: Setup fees, deployment charges, and consumed subscription periods are non-refundable due to the immediate allocation of hosting resources and licensing provisions.

4. System Availability & Service Levels

• Uptime Target: We aim for a 99.9% uptime baseline for our hosted cloud ERP solutions.
• Maintenance: Scheduled maintenance that requires temporary system downtime will be communicated to clients at least 24 hours in advance.
• Third-Party Integrations: Honsoft is not liable for service disruptions caused by external third-party outages, including Safaricom M-PESA APIs, SMS gateway aggregators, or local internet service providers.

5. Intellectual Property

• Honsoft Ownership: Honsoft retains full ownership, intellectual property rights, and copyright over all pre-built ERP platforms, core application engines, and standard source configurations.
• Client Data Ownership: The client retains absolute ownership of all text, files, databases, and structural information uploaded into the software. You can export your data upon request.

6. Limitation of Liability

• Honsoft will not be liable for any indirect, incidental, or consequential damages—including data loss, revenue loss, or business interruptions—arising from the use or inability to use our software.
• Our total liability for any certified claim under this agreement is strictly limited to the total amount paid by the client to Honsoft during the three (3) months preceding the claim event.

7. Termination

• By Client: You may terminate your subscription service by providing a 30-day written notice prior to your next renewal cycle.
• By Honsoft: We reserve the right to terminate accounts immediately in cases of system abuse, illegal usage, prolonged non-payment, or breach of intellectual property rights.
• Data Recovery: Upon contract termination, clients will be given a designated window to download their database backups, after which data will be permanently purged from our servers.

8. Governing Law

These terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any legal disputes will be subject to the exclusive jurisdiction of the courts in Kenya.
